Strategic Business Management Agency Limited ("SBMA") maintains a curriculum vitae on file for you as part of its pool of associates and specialists engaged from time to time to support client assignments, proposals and tenders. This document records your consent to that arrangement and confirms certain matters between us. It is a standing consent and is not tied to any single assignment, client or opportunity.
1. Accuracy of curriculum vitae. I confirm that the curriculum vitae held by SBMA and any version derived from it accurately reflects my qualifications, professional experience, employment history and certifications as I have provided them, to the best of my knowledge. I will notify SBMA promptly in writing of any material change — including a new qualification, a change of employer or role, or a change to my availability — so that the record held on file remains current.
2. Authorisation to use. I authorise SBMA to hold, adapt the formatting of, reference and include my curriculum vitae, in whole or in part, in proposals, tenders, expressions of interest, prequalification submissions and related materials that SBMA prepares for its clients and prospective clients, on an ongoing basis. This authorisation continues until I withdraw it in writing, and covers submissions SBMA makes after the date of this consent without requiring a fresh request from SBMA for each individual submission.
2.1 SBMA will not materially alter the substance of my professional history, qualifications or experience without my knowledge, though formatting, structure and emphasis may be adjusted to suit a particular submission.
3. Confidentiality of opportunities. I understand that the identity of specific clients, the nature of specific opportunities, and the commercial terms on which SBMA proposes to deliver them are confidential to SBMA. Where my curriculum vitae is used in connection with a particular opportunity, I will treat any information I become aware of about that opportunity — including the identity of the client, the scope of work, pricing, or the fact that a submission is being made — as confidential, and will not disclose it to any third party without SBMA's prior written consent.
4. Non-circumvention. Where SBMA introduces me, whether by name or by proposing my curriculum vitae, to a specific client opportunity, I agree not to independently pursue, apply for, bid on, or accept direct engagement in connection with that same opportunity other than through SBMA, without SBMA's prior written consent. This clause exists to protect the working relationship between us and does not restrict my ability to pursue opportunities generally, including opportunities with the same client that are unconnected to an SBMA submission.
5. General availability. I confirm that, as of the date of this consent, I am generally available to be considered for engagement by SBMA as a proposed team member or specialist on assignments for which my experience is relevant. I understand that my specific availability, role, duration and compensation for any particular assignment will be confirmed and agreed separately between us before any engagement begins, and that nothing in this consent obliges either party to proceed with a specific engagement.
6. No exclusivity implied. This consent does not create an employment relationship, a retainer, or an exclusive arrangement between us, and does not prevent me from working with or being engaged by other organisations, except as set out in clause 4 above in respect of a specific opportunity SBMA has introduced to me.
7. Electronic signature and record. I agree that by typing my full name, drawing my signature and selecting "I give my consent" on SBMA's website, I am signing this consent electronically, and that my electronic signature has the same effect as a handwritten signature. I agree that SBMA may keep an electronic record of this consent, including the date and time of signing and the technical details of my submission, as evidence of my consent.
8. Personal information and withdrawal. I understand that SBMA will store my curriculum vitae and the personal information I have submitted securely, use it only for the purposes described in this consent, and share it only with SBMA's clients and prospective clients in connection with proposals and engagements. I may ask SBMA at any time to update, correct or delete my information, or withdraw this consent, by writing to info@sbmaglobal.com. Withdrawal does not affect submissions SBMA made before it received my request.
